TERMS OF USE AND GENERAL CONDITIONS OF SALE

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING, BROWSING, OR REGISTERING ON THIS PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE IMMEDIATELY.

PART I — GENERAL PROVISIONS

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "You") and Ashford Valle, having its registered office at Manas, Sai Nagar, Amravati 444701, Maharashtra, India ("the Company", "We", "Us"). These Terms govern your access to and use of https://www.ashfordvalle.com and all associated services (collectively, the "Platform").

2. Eligibility

By using this Platform, you represent and warrant that: You are at least 18 years of age; You have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872; You are not barred from receiving services under applicable law; and All information you provide is accurate, current, and complete.

3. Definitions

"Products" — cosmetic, skincare, and beauty products listed for sale on the Platform. "Order" — a purchase request placed by you for one or more Products. "Account" — your registered profile on the Platform. "Content" — all text, images, graphics, audio, video, code, and other material on the Platform. "Intellectual Property" — patents, trademarks, trade names, copyrights, designs, and related rights owned or licensed by the Company. "Force Majeure Event" — any event beyond the reasonable control of a party, including acts of God, pandemics, government action, civil unrest, or cyber-attacks.

PART II — PLATFORM USE AND USER ACCOUNTS

4. Account Registration

To access full Platform features, you may be required to register for an Account. By doing so, you agree to: Provide accurate, complete, and up-to-date information; Maintain the confidentiality of your password and login credentials; Notify Us immediately of any unauthorised use of your Account; and Accept sole responsibility for all activities occurring under your Account.

We reserve the right to suspend or terminate your Account if We reasonably believe you have violated these Terms or applicable law.

5. Prohibited Activities

You agree not to: Use the Platform for any unlawful purpose or in violation of applicable Indian law; Attempt to gain unauthorised access to the Platform, its servers, or associated networks; Upload or transmit viruses, malware, or other malicious code; Scrape, crawl, or extract data from the Platform without prior written consent; Post false, misleading, defamatory, or fraudulent content; Impersonate any person or entity; Use automated bots or scripts to interact with the Platform without prior written approval; Engage in any activity that disrupts or interferes with the Platform's operation.

PART III — PRODUCT INFORMATION AND ORDERING

6. Product Listings

We take reasonable steps to ensure product descriptions, images, and prices are accurate. However: Product images are for illustrative purposes and may differ slightly due to photographic conditions or packaging updates; Ingredient formulations may change — always consult the physical product label before use; Prices are subject to change without notice and subject to applicable taxes as displayed at checkout; Availability is subject to stock levels.

7. Order Placement and Contract Formation

7.1 By placing an Order, you are making an offer to purchase the selected Products under these Terms. 7.2 A binding contract is formed only upon dispatch of a written Order Confirmation by Us to your registered email address. 7.3 We reserve the right to refuse or cancel any Order where the product is out of stock, there is a pricing error, fraud is detected, or we are unable to verify your identity or payment. 7.4 In the event of post-payment cancellation by Us, a full refund shall be issued.

8. Pricing and Payment

8.1 All prices are denominated in Indian Rupees (INR). 8.2 We do not store credit or debit card details on our servers. All payment data is secured by PCI-DSS compliant processors. 8.3 For failed or disputed transactions, please contact your bank or payment gateway.

PART IV — INTELLECTUAL PROPERTY

9. Ownership

All Content on the Platform — including the brand name, logo, product names, slogans, text, graphics, images, videos, software, and underlying code — is the exclusive property of Ashford Valle or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian IP laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only.

10. Trademarks

The trade name "Ashford Valle", associated logos, and product brand names are registered or unregistered trademarks of the Company. Nothing in these Terms grants any right or licence to use any trademark of Ashford Valle without prior written consent.

PART V — DISCLAIMER AND LIMITATION OF LIABILITY

11. Product Disclaimer

Our Products are cosmetic and skincare formulations intended for external use only. They are NOT intended to diagnose, treat, cure, or prevent any disease or medical condition. Individual results may vary. We strongly recommend a patch test before first use.

12. General Disclaimer

The Platform and its Content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, to the fullest extent permitted by applicable law.

13. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Platform or Products. Our aggregate liability for any claim shall not exceed the amount paid by you for the specific Product in question, or INR 5,000 (whichever is lower).

14. Indemnification

You agree to indemnify and hold harmless Ashford Valle, its directors, officers, employees, and agents from any claims, liabilities, losses, and expenses arising from your violation of these Terms, misuse of the Platform, or violation of any third-party right.

PART VI — GOVERNING LAW AND DISPUTE RESOLUTION

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

16. Jurisdiction

All disputes shall be subject to the exclusive jurisdiction of the courts located in Amravati, Maharashtra, India.

17. Dispute Resolution

17.1 Parties shall first attempt good-faith negotiation within 30 days of written notice of a dispute. 17.2 If negotiation fails, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. Seat of arbitration: Amravati, Maharashtra, India. Language: English.

PART VII — MISCELLANEOUS

18. Severability

If any provision is found unlawful or unenforceable, the remaining provisions shall continue in full force.

19. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ashford Valle regarding the Platform.

20. Force Majeure

Ashford Valle shall not be liable for any failure or delay resulting from a Force Majeure Event.

21. Changes to Terms

We may modify these Terms at any time. Updated Terms will be posted with a revised date. Continued use constitutes acceptance.
